Orrick currently has an excellent opportunity for an entry-level Structured Finance Paralegal. The position will be based in the New York or Washington, D.C. office.

Responsibilities

What Will You Do? As a Paralegal, you will support the delivery of quality legal services to clients by drafting documents and coordinating with transaction participants. Requisite skills are accuracy, attention to detail, strong organizational skills, strong written and oral communication skills and computer proficiency. You will provide assistance to others in all aspects of finance work, focusing on the organization and maintenance of documents and transactional information.

You will perform a wide array of tasks, including but not limited to:

    Coordinating the various structured finance transactions from inception to closing.
  • Drafting and reviewing legal documents, e.g., preparing signature pages for agreements, officers' certificates, consents and working group lists.
  • Drafting transaction agreements and the related annexes, exhibits and schedules; closing certificates and legal opinions.
  • Preparing and filing UCC financing statements, amendments and terminations and performing simple UCC searches through outside vendors or on-line services.
  • Acting as liaison with the client and any outside entities such as government agencies, corporations, vendors and other law firms to facilitate transactions.
  • Conducting final page-checking of final documents.
  • Assisting with closing by drafting closing checklists, preparing and assembling closing files, DTC letters, obtaining good-standing certificates and attending pre-closings and closings.
  • Preparing and distributing closing transcripts.
  • Following up with clients and other parties to ensure delivery of complete documentation required for closing binders.
  • Performing other tasks as required and other related duties as assigned.

Qualifications
  • A bachelor's degree or equivalent work experience is required.
  • Paralegal certificate from an ABA-approved training program is preferable but not required.
  • Strong academic background and leadership ability as demonstrated through extra-curricular activities and work experience is required.
  • Demonstrated detail-attentiveness, excellent organizational, verbal, and written communication skills.
  • Exhibit aptitude to develop specific and detailed knowledge and understanding of complex issues and procedures.
  • Strong time management skills, and ambition to work in a dynamic, shared environment are essential; ability to coordinate multiple tasks concurrently.
  • Ability to work effectively and enthusiastically within a team environment.
  • Excellent computer skills with proficiency with Microsoft Word and Excel and ability to learn any practice related software.
  • Prior experience in business or law office is desirable.
  • Ability to be flexible with your work schedule.
  • Ability to work overtime as required.

Compensation and Benefits

The expected salary range for this position is:

  • New York City $51,000 - $67,000
  • National $46,000 - $60,000

Orrick is committed to providing a comprehensive, competitive, and thoughtful total compensation package to our attorneys and staff, wherever they work. This compensation and benefits information is based on the Orrick's estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
